In a continuation from the earlier session on M&As, participants will hear an in-depth presentation on the heavy/highway acquisition and due diligence process. The session will include valuation methods and considerations, Letter of Intent assumptions, key due diligence analytical procedures, WIP analysis and true-up, EBIT normalization, and other common M&A issues.

Learning Objectives:

Learn to negotiate the LOI and value a heavy/highway contractor for acquisition purposes, including EBIT normalization and cap-ex considerations
Understand the issues and valuation adjustments related to uncompleted contracts in progress at the closing date and post-closing true-up
Discuss key due diligence information and analytical procedures including normalization of historical EBIT
Review common issues and errors made in the due diligence process from both the buyer and seller perspective
Discuss common post-closing issues, including inventory and WIP true-up, look-back calculations and earn-out provisions
Participate in a question and answer session to conclude the presentation
